TERMS & CONDITIONS
CINECODE Private Limited
1. Introduction
These Terms & Conditions outline the general principles governing services provided by CINECODE Private Limited, including photography, filmmaking, video production, post-production and related creative services. Specific project requirements, deliverables, pricing and responsibilities will be established through the accepted quotation or project agreement.
2. Project Confirmation
A project is considered confirmed only when the client accepts CINECODE's quotation and agreed scope of work in writing, and any applicable advance payment has been received. Submitting an enquiry or discussing a project does not constitute a confirmed booking.
3. Scope of Work
CINECODE will execute each project according to the agreed scope, deliverables and requirements. Additional work or changes requested after confirmation may affect the project cost and delivery schedule. Such changes will be discussed and agreed upon before proceeding.
4. Payment Terms
Project pricing, advance payments, payment milestones and applicable taxes will be specified in the quotation or project agreement. Work will commence upon receipt of the agreed advance payment. CINECODE may pause further work or withhold final delivery if agreed payments remain outstanding.
5. Project Timelines
CINECODE will make reasonable efforts to complete projects within the agreed schedule. Delays caused by changes in requirements, delayed approvals, unavailable materials or circumstances beyond CINECODE's reasonable control may result in revised delivery schedules. Significant changes will be communicated to the client.
6. Revisions & Final Delivery
The number of revisions, review stages and delivery formats will be specified in the project agreement. Additional revisions or changes beyond the agreed scope may involve additional charges and extended delivery timelines. Final deliverables will be provided upon completion of the agreed work and settlement of applicable payments.
7. Ownership & Usage Rights
Upon receipt of full payment, clients receive the agreed usage rights for final deliverables as specified in the quotation or project agreement. Raw footage, original photographs, project files, editing timelines and other working materials remain the property of CINECODE unless their transfer is specifically agreed upon. Third-party materials remain subject to their respective licensing terms.
8. Confidentiality & Privacy
CINECODE respects the confidentiality of client information, business details and project materials. Any signed Non-Disclosure Agreement (NDA) will be honoured according to its terms. Client information and project materials will be handled in accordance with CINECODE's Privacy Policy and applicable legal requirements.
9. Cancellation & Rescheduling
Clients may request cancellation or rescheduling of a confirmed project in writing. Work already completed, expenses incurred and third-party commitments will be considered when calculating the final settlement. Refunds, cancellation charges and rescheduling arrangements will depend on the project's stage, agreed terms and actual costs incurred.
10. Client Responsibilities
Clients are responsible for providing accurate project information, required materials, approvals and permissions. Materials supplied to CINECODE must be owned by the client or appropriately licensed for their intended use. CINECODE reserves the right to decline or discontinue work that reasonably appears to violate applicable Indian laws.
11. Authorized Representatives & Approvals
Clients must designate authorized representatives for project communication and approvals, including an authorized decision-maker. Important project decisions, changes, additional expenses and final approvals must be communicated in writing through agreed channels. Instructions from unauthorized individuals will not be treated as binding approvals.
12. Creative Concept & Production Changes
Creative concepts and production requirements must be reviewed and approved before production begins. Minor adjustments may be accommodated where practical. Major changes to approved concepts, production requirements or completed work may require additional resources, revised costs and extended schedules. Such changes will be discussed and approved before implementation. CINECODE remains responsible for executing the approved concept according to the agreed specifications.
13. On-Set Creative Review
Clients must designate an authorized creative representative who is present or available for timely review during production. Creative adjustments should be communicated while the relevant scene or setup is available. Changes requested after filming may require additional work or reshoots, subject to revised costs and schedules. CINECODE remains responsible for errors attributable to its failure to follow approved requirements.
14. Professional Conduct & Mutual Respect
CINECODE is committed to maintaining a safe, inclusive and respectful working environment. Clients, employees, representatives, freelancers, production crew and collaborators must treat one another with dignity and professional respect.
CINECODE maintains zero tolerance for discrimination, harassment, abusive or threatening language, intimidation, bullying, humiliation, unwanted advances or inappropriate physical conduct. Serious or repeated misconduct may result in intervention, suspension or discontinuation of services, subject to applicable law and contractual terms. These standards apply equally to CINECODE personnel.
15. Equipment Safety & Responsibility
CINECODE's production equipment must not be operated, moved, modified or handled without authorization. Clients and individuals under their responsibility must exercise reasonable care around production equipment.
Where damage, loss or destruction results from negligence, misuse, unauthorized handling or deliberate actions attributable to the client or individuals under their responsibility, the client will be responsible for 100% of reasonable, documented repair or replacement costs, assessed using current market prices for the same or reasonably equivalent equipment.
Clients will not be responsible for damage resulting solely from normal wear and tear, manufacturing defects or negligence attributable to CINECODE personnel.
16. Talent, Models & Third-Party Services
Models, actors, presenters, performers and third-party professionals may be arranged by CINECODE or the client, as agreed in the project agreement. The party responsible for arranging them must coordinate availability, bookings, payments and necessary permissions or releases. Changes or delays involving these arrangements may affect project costs and schedules.
17. Production Locations & Safety
The party responsible for arranging a production location must ensure its availability, suitability and necessary filming permissions. Clients must disclose known hazards or restrictions at locations they arrange. CINECODE may pause or suspend production where conditions present genuine risks to personnel, equipment or public safety. Any resulting costs or scheduling changes will be assessed according to the circumstances and agreed contractual terms.
18. Consent, Privacy & Protection of Minors
CINECODE respects the privacy, dignity and rights of individuals participating in productions. Appropriate consent or lawful authorization must be obtained before photographing, filming or recording identifiable individuals.
Where children or minors participate, prior parental or legal guardian consent and any other legally required permissions must be obtained. CINECODE prohibits unlawful child labour, exploitation and activities that compromise a child's safety or well-being.
Unauthorized behind-the-scenes photography, filming, recording or publication of production activities and participants is prohibited. Permission to attend a production does not automatically grant permission to record or publish its activities.
19. Portfolio & Promotional Use
CINECODE will seek client permission before showcasing completed projects, brands or identifiable content in its portfolio, website, social media or promotional materials. Applicable NDA and confidentiality restrictions will be respected.
20. Suspension & Termination of Services
CINECODE may suspend or discontinue services in circumstances involving unlawful activities, serious misconduct, significant safety risks, fraudulent conduct, deliberate misuse of company property or material breaches of contractual obligations.
Where reasonably appropriate, concerns will be communicated and an opportunity provided to resolve them. Serious circumstances may require immediate suspension. Outstanding payments, completed work, documented expenses and applicable refunds will be settled according to agreed contractual terms and applicable law.
21. Liability & Dispute Resolution
CINECODE is committed to delivering professional services according to agreed project requirements. Both parties will first make reasonable efforts to resolve disagreements through direct communication and mutual understanding. Unresolved matters will be handled in accordance with applicable Indian laws. Neither party will be responsible for delays or failures caused by circumstances beyond their reasonable control, subject to applicable law.
